Terms
Version: 27 October 2026 (draft)
These terms are for business customers only. Translations are available in German, French, Norwegian and Finnish; if the versions differ, the English version applies.
1. Who we are
TokTech Studio is a trading name of MirHunn S.à r.l.-S, 44, rue de l’Industrie, L-8069 Strassen, Luxembourg, registered in the Luxembourg Trade and Companies Register under B311057 (“TokTech”, “we”). Contact: info@toktechstudio.com, +352 621 394 175 (calls and WhatsApp).
2. Scope
These terms apply to every contract between TokTech and a business (“customer”, “you”) for a website, extras and the monthly plan. We work only with businesses acting in the course of their trade, not with consumers. Your own terms apply only if we accept them in writing.
3. The concept and how the contract is made
3.1 We may build a concept website for your business before contacting you. The concept is free and creates no obligation. It is marked as a concept, hidden from search engines, and deleted if you say no or do not answer.
3.2 The contract is made when you accept the offer (in your personal page, by email or in writing) and we confirm it. The offer covers the website shown in the concept, with the corrections agreed before launch, and any extras you choose.
4. Prices and payment
4.1 Launch fee: CHF 280 / NOK 3,100 / EUR 300, plus the extras you choose, at the prices shown when you order.
4.2 Monthly plan: CHF 5 / NOK 50 / EUR 5 a month, starting the month after go-live, plus hosting at cost (we pass on the hosting provider’s charge without mark-up; usually between 0 and 2 euros a month per site).
4.3 Prices are without VAT. For business customers in other countries the reverse-charge rules apply where the law provides for them, and you account for VAT under your own country’s rules.
4.4 The launch fee and extras are due on our invoice before go-live. The monthly plan is billed monthly or yearly in advance. You can pay by card, TWINT, MobilePay or bank transfer as offered on the invoice.
4.5 If a monthly payment fails and is not settled within 30 days of a reminder, we may pause the monthly plan’s services; your domain and content stay yours.
5. Delivery
5.1 We put the website live on your domain within 7 days of receiving payment, provided you have given us the information and access we need (for example the confirmation of opening hours and prices, and access to your domain’s DNS settings or your web person’s help). Time you need to provide these does not count.
5.2 You own and keep your domain. We only point the website part of it to the new site; your email stays as it is.
6. Your responsibilities
6.1 You check the content before launch, in particular everything we mark “please confirm” (hours, prices, names, qualifications, allergens, legal notices), and tell us what needs correcting.
6.2 You confirm that you hold the rights to the texts, photos and logos you give us or that come from your current website, and that their use does not infringe anyone’s rights.
6.3 You remain responsible for the rules that apply to your business and its website, such as the legal notice (imprint), your privacy notice, health or financial advertising rules, and allergen information.
7. Changes
7.1 Before payment: one round of changes to the concept is included.
7.2 With the monthly plan: up to two small text or photo changes a month are included (for example new opening hours, a price list update, a photo exchange). Unused changes do not roll over.
7.3 Larger changes (new pages, new features, redesigns) are quoted in advance and done only after you accept the quote.
8. Rights to the website
8.1 After full payment of the launch fee, the content of your website belongs to you, and you receive a permanent, transferable licence to use the design and code for your website, also with another host.
8.2 Fonts, libraries and other third-party components remain under their own licences (for example the SIL Open Font License or the MIT licence), which allow this use.
8.3 We show your website in our portfolio only with your consent.
9. Hosting, monthly plan and availability
9.1 With the monthly plan we keep your website online, apply security updates, keep backups, give you access to the TokTech app, and do the included changes.
9.2 We host on reputable infrastructure providers and do our best to keep the website available, but we cannot guarantee uninterrupted availability. Planned maintenance is announced in the app when it can affect you.
10. Services you choose from other providers
Online payments, booking systems, newsletters and similar services that you choose are contracts directly between you and that provider. You open the account in your own name; we never receive your login, keys or money, and we only place the public link or button on your website. The provider’s terms and fees apply.
11. Data protection
Each party is responsible for its own processing of personal data. Where we process personal data for you (for example messages your visitors send through forms on your website), we do so as your processor under the Data Processing Terms in the annex, which form part of these terms.
12. Term and termination of the monthly plan
12.1 The monthly plan runs from month to month. Either party can end it with 30 days’ notice to the end of a month, in the app or by email.
12.2 When the plan ends, we give you a complete copy of your website’s files so you or another provider can host it, and we take it off our hosting after a transition period of 30 days.
13. Liability
13.1 We are liable without limitation for damage caused intentionally or by gross negligence, and where the law does not allow a limitation.
13.2 Otherwise our total liability under a contract is limited to the amounts you paid us in the 12 months before the event, and we are not liable for indirect damage, loss of profit or loss of data that regular backups would have prevented.
14. Changes to these terms
We tell you about changes at least 30 days in advance in the app or by email. If you do not agree, you can end the monthly plan before the change takes effect.
15. Law and courts
Luxembourg law applies. The courts of Luxembourg City have jurisdiction, unless mandatory law provides otherwise.
Annex: Data Processing Terms
These terms meet Article 28 GDPR and the Swiss Federal Act on Data Protection (DSG) for processing that TokTech does on the customer’s behalf.
1. Roles
The customer is the controller of personal data about its own website visitors and customers. TokTech (MirHunn S.à r.l.-S, 44, rue de l’Industrie, L-8069 Strassen, Luxembourg) is the processor for the services below.
2. What we process for you
| Service | Personal data | Data subjects | How long |
|---|---|---|---|
| Form relay (contact, table, order, quote, appointment and call-back forms) | name, phone, email, the message and form details; the visitor’s IP address for spam protection (Cloudflare Turnstile) and, as a keyed hash, for rate limits | visitors of your website | not stored: forwarded to your email at once; only a daily count of messages is kept; rate-limit entries expire with their time window |
| Website hosting | technical access logs (IP address, time, page, browser) kept by the hosting provider | visitors | as set by the hosting provider, for security |
| Visitor statistics (if used) | cookie-free, aggregated page views; no cookies, no profiles | visitors | aggregated only |
3. Our duties
We process the data only on your documented instructions (these terms and the settings of your website); keep it confidential and bind our staff to confidentiality; apply appropriate security (encryption in transit, access control, least data, logging); help you answer data subjects’ requests and meet your duties on security, breach notification and impact assessments; tell you without undue delay, and at the latest within 48 hours, about a personal data breach affecting your data; delete or return all data at the end of the service; and give you the information needed to show compliance, including reasonable audits with notice.
4. Sub-processors
You agree to these sub-processors; we tell you 30 days before adding or replacing one, and you may object.
- Cloudflare, Inc. (hosting, form relay, spam protection, statistics). Transfers to the USA under the EU-US and Swiss-US Data Privacy Framework and the Standard Contractual Clauses.
- Namecheap, Inc. (Private Email), the mailbox service that delivers the form messages to you by email.
5. International transfers
Data leaves the EU/EEA or Switzerland only with appropriate safeguards (adequacy decisions, the Data Privacy Framework, or Standard Contractual Clauses).
6. Term
These terms apply as long as we process personal data for you, and end when the website or the relevant service ends and the data is deleted.
